1. General information

1.1 These terms of use (“terms of use”) apply to the use of the UTA EasyFuel app (“UTA EasyFuel app”).

1.2 The provider of the UTA EasyFuel app is UNION TANK Eckstein GmbH & Co. KG based in Kleinostheim, registered in the commercial register of Aschaffenburg Local Court under HRA 835 (“UTA”).

1.3 UTA operates a service that allows the user (“UTA user”) to obtain data, in particular fuel station data, and additional information from the UTA Cloud (“UTA services”) using the UTA EasyFuel app.

1.4 The UTA EasyFuel app can be downloaded free of charge in the Apple App Store or in the Google Play Store. In order to have full use of the UTA EasyFuel app, a user account needs to be set up with UTA.

1.5 In order to be able to use all of the functions of the UTA EasyFuel app, an internet-enabled smartphone is needed. The UTA user is responsible for ensuring that their smartphone has an internet connection.

1.6 The UTA EasyFuel app may only be used in accordance with these terms of use and subject to the rules, guidelines and conditions of the respective operator or provider of the App Store from which the UTA user downloads the UTA EasyFuel app. The subject of these terms of use is in particular the granting of a free licence to use the UTA EasyFuel app under the conditions of these terms of use.

1.7 As soon as the UTA user clicks on the “Accept” button, they agree that these terms of use apply. With this, the terms of use become binding for the UTA user.

1.8 UTA expressly points out to the UTA user that the rules and regulations relating to road traffic, in particular the German Road Traffic Act (StVG) and the German Road Traffic Ordinance (StVO) are to be observed at all times and that the responsibility for their observance lies with the UTA user. UTA does not accept any liability for any damages and consequences resulting from use of the UTA EasyFuel app that is in breach of the road traffic and any other relevant statutory provisions and regulations.

2. Requirements for use and mobile charges

2.1 The UTA user’s smartphone must meet certain system requirements in order for the UTA EasyFuel app to be used. Detailed information can be found in the Google Play Store and App Store for Android smartphones.

2.2 An internet or mobile connection needs to be established in order for the UTA EasyFuel app to be used. Responsibility for the establishment of this connection and the costs incurred lies with the UTA user. UTA does not accept any responsibility for the availability of internet connections, mobile networks and other network connections of third-party providers. Equally, UTA does not accept any responsibility for the operation and operability of the devices, in particular smartphones and tablets, used by the UTA user to use the UTA EasyFuel app.

3. Area of application

3.1 These terms of use apply to the use of the UTA EasyFuel app including all updates of the UTA EasyFuel app. Depending on the nature and scope of the update, use of the UTA EasyFuel app and availability of the UTA services may be affected.

3.2 Individual terms of use may be supplemented, modified or replaced by other terms, if UTA informs the UTA user of this and the UTA user agrees to this. Information on new terms of use can be provided by UTA when the UTA EasyFuel app is opened. The new terms can be shown to the UTA user on the screen and continued use of the UTA EasyFuel app may be made subject to acceptance of the new terms.

3.3 If the UTA user, when using the UTA EasyFuel app, acts as or on behalf of an enterprise, i.e. in a commercial or self-employed professional capacity, or on behalf of a public body, the statutory consumer protection regulations do not apply.

3.4 If the UTA user uses the UTA EasyFuel app on behalf of an enterprise or a public body, the respective enterprise or body will be represented by the UTA user and must be accountable for the actions and knowledge of the UTA user.

4. Application, registration, password

4.1. In order to have full use of the UTA EasyFuel app, an application and registration need to be made.

4.2 The UTA user assures that all of the information provided by them in the application and registration is true and complete. If the UTA user’s data has been transferred to UTA by a third party, for example by the fleet manager of their organisation, the user must check the accuracy and completeness of their data. The UTA user must also ensure that the data remains true and complete regarding the applications and services used by them in the UTA EasyFuel app or on the basis of the UTA software. The UTA user assures that they are of full age. If the UTA user works for a legal person or a partnership that has (partial) legal personality, they assure that they have sufficient authorisation to use the UTA EasyFuel app, the UTA software, the applications and the UTA services.

4.3 As UTA is not able technically to establish with certainty the identity of users who have registered via the UTA EasyFuel app, UTA does not guarantee that the actual user of the UTA EasyFuel app is identical to the registered user.

5. Services and licence

5.1 UTA makes the UTA EasyFuel app available to the UTA user free of charge for use that is in accordance with these terms of use.

5.2 Upon acceptance of these terms of use, UTA grants the UTA user – subject to the data protection agreement – a free, non-transferable, non-exclusive licence to use the UTA EasyFuel app.

5.3 UTA retains all of the rights to the UTA software and the UTA EasyFuel app.

5.4 Due to the nature of the internet, mobile networks and computer systems, UTA does not guarantee uninterrupted availability of the UTA EasyFuel app and the UTA software.

6. Intellectual property

6.1 The UTA user only has the right to use the UTA EasyFuel Drive app and the UTA software in accordance with these terms of use.

6.2 The UTA user is not granted any rights of any kind outside of the rights of use expressly granted in these terms of use, in particular they are not granted any rights to the company name, logo, trade name, know-how and industrial property rights such as patents, marks, registered designs, copyrights (including in particular texts, graphics, software, codes, scripts, designs, sounds, music, animations, videos, applications) or the like. UTA is under no obligation to grant the UTA user such rights.

6.3 The UTA user acknowledges that all rights to the UTA EasyFuel app and the UTA software are owned or held worldwide by UTA or licensors of UTA and the rights to the UTA EasyFuel app and the UTA software are only assigned to the UTA user within the licence granted in these terms of use and are not sold to the UTA user.

6.4 The UTA user transfers to UTA for an unlimited time a free, transferable, non-exclusive right of use for the following purposes, in particular the right to reproduce, distribute and process all of the content and information which the UTA user makes available to UTA in the use of and in connection with the use of the services provided by UTA.

6.5 The content and information within the meaning of subparagraph 6.4 will be used in particular to improve services, for statistical purposes and for market research purposes.

6.6 UTA may also use the content and information within the meaning of subparagraph 6.4 for its own appropriate marketing of UTA, provided that and to the extent that legitimate interests of the UTA user are not unreasonably affected by this.

6.7 The right of use granted to UTA pursuant to subparagraph 6.4 will expire for the future, if the UTA user deletes their account with UTA. The use of anonymised content and information that does not contain any reference to persons remains unaffected. UTA does not accept any responsibility for the use of content and information by third parties that has taken place without UTA’s consent. UTA will take reasonable technical measures protect the content and information against third parties.

7. Data backup and use

7.1 The UTA user is allowed, subject to other provisions in these terms of use, to make copies of the UTA software and of content, provided that and to the extent that this is necessary and technically possible for the purpose of data backup, operational reliability or normal use of the UTA EasyFuel app and is offered by UTA. UTA provides no guarantee or warranty that the technical capabilities to do this exist.

7.2 Subject to subparagraph 7.1, without UTA’s express prior consent the UTA user is not allowed:

7.2.1 to copy the UTA software;

7.2.2 to rent out, sell, lease out or lend out the UTA software, or to hand it over to, assign it to, transfer it to or grant sublicences for it to third parties;

7.2.3 to modify or alter the UTA software, merge or combine it with or incorporate it in other software (including other software of UTA) or

7.2.4 to dismantle or reverse engineer the UTA software, to produce derivatives of the UTA software and/or to use individual parts of the UTA software in the sense of subparagraphs 7.2.1 to 7.2.3.

8. Obligations of the UTA user

8.1 By accepting these terms of use, the UTA user agrees, without prejudice to mandatory statutory requirements and other requirements in these terms of use, to observe all relevant technological controls, regulations and export control laws that apply to the technology in the or of the UTA EasyFuel app and UTA software and used or supported by the UTA EasyFuel app or UTA software.

8.2 The UTA user must not use the UTA EasyFuel app and/or UTA software in a way that infringes the property rights of UTA, where they have not been granted on the basis of these terms of use, or the property rights of third parties.

8.3 The UTA user must not use the UTA EasyFuel app and/or PACE software in a way that

8.3.1 might damage, deactivate or compromise the systems or security of the systems of UTA or

8.3.2 might disrupt or affect the use of other users of the UTA EasyFuel app or other UTA services.

8.4 If the UTA user passes on the information provided by UTA, the UTA software or other software and documentation provided by UTA to third parties, they must observe, without prejudice to the provisions in subparagraph 7.1, the applicable regulations of national and international (re-)export control law. If the UTA user does pass on the aforementioned, they must in any event observe the (re-)export control regulations of the Federal Republic of Germany and the European Union.

8.5 Before they pass on the aforementioned, the UTA user will in particular check and take appropriate measures to ensure that

8.5.1 they do not, by passing on the aforementioned to a third party or by providing other economic resources in connection with information, software and documentation provided by UTA, violate an applicable embargo, in particular one imposed by the European Union and/or the United Nations or

8.5.2 the information, software and documentation provided by UTA are not intended for use in connection with armaments, nuclear technology or weapons that is banned or requiring approval.

8.6 The UTA user will indemnify UTA fully against all claims made by authorities or other third parties against UTA as a result of the UTA user’s failure to observe the aforementioned export control law obligations and agrees that it will compensate for all damages and costs incurred by UTA in this connection, unless the UTA user is not responsible for the breach of the obligation. This does not involve a shift in the burden of proof.

9. Blocking of access

UTA expressly reserves the right to block the UTA user’s access to the UTA EasyFuel app, if the UTA user is in breach of these terms of use.

10. Liability

10.1. UTA does not provide any guarantees for the quality of the UTA EasyFuel app or UTA software, in particular it does not provide any guarantee for the operation, operability, availability, usability or any other guarantees concerning the UTA EasyFuel app and UTA software. UTA does not accept any liability for the accuracy and currentness of the data and information provided by the UTA EasyFuel app or UTA software. Furthermore, UTA does not accept any liability for the consequences of disruptions, interruptions and impaired operation of the UTA EasyFuel app or UTA software.

10.2 The UTA EasyFuel app and UTA software have been designed and developed for commercial end users. In particular resale is not permitted. UTA therefore does not accept any liability for lost profit, lost business or business opportunities, business interruptions or the loss of business activity.

10.3 The UTA EasyFuel app and/or UTA do not provide any guarantees for the correctness of the fuel prices and the respective fuel stations shown in the app.

10.4 UTA will be liable without limitation for damages due to injury to life, limb or health as a result of a breach of duty by UTA, a legal representative or vicarious agent of UTA and for damages caused by the absence of a quality guaranteed by UTA. In addition, UTA will be liable in cases of fraudulent behaviour, in particular in the case of a fraudulent concealment of a defect. UTA will also be liable in the case of deliberate or grossly negligent behaviour on the part of UTA or in the case of losses/damages caused by a representative or vicarious agent of UTA deliberately or through gross negligence.

10.5 In the case of a breach of material contractual obligations, UTA’s liability will be limited in the case of ordinary negligence to the losses/damages typically expected (foreseeable) for this type of contract. The liability pursuant to subparagraph 10.3 will not be limited by this. Material contractual obligations are those whose fulfilment enable the contract to be performed at all and which the user may regularly trust are adhered to.

10.6 Liability under the Product Liability Act (Produkthaftungsgesetz) remains unaffected.

10.7 Otherwise UTA’s liability is excluded.

11. Data protection

11.1 UTA will strive continually to achieve optimal security of its systems as far as technically and economically feasible. UTA points out that internet and mobile connections are never 100% secure and protected.

11.2 In order to ensure that the UTA EasyFuel app and UTA software are being used correctly, UTA needs to collect and analyse the UTA user’s data. The optimal and contractually-agreed operation of UTA EasyFuel app and UTA software can only be achieved in particular by linking a registered user profile and the collection of this data.

UTA therefore expressly points out that personal data of the UTA user will be collected, processed, transmitted and used (processing) by UTA in accordance with the statutory regulations when the UTA EasyFuel app is used. How the personal data is processed and the data subject’s rights in this respect are explained in the UTA Privacy Policy.

11.3 Insofar as the UTA EasyFuel app contains links to websites of other third parties that are independent of UTA, the content of these websites of third parties is not under the control of UTA. UTA accepts no responsibility for the content of the websites of third parties and their privacy policies. UTA does not adopt this third-party content as its own. If UTA becomes aware of any such breaches of law, it will remove this content immediately (notice and take down process). The UTA user is responsible for deciding whether and to what extent they access websites and services of third parties.

12. Consent

The UTA user agrees that UTA may send offers tailored to them relating to the UTA services, such as offers put together specifically for the UTA user and information relating to their vehicle, as notifications to their mobile phone or via the UTA EasyFuel app or by e-mail, and that in the process it may use the personal data provided by the UTA user when registering for the services provided by UTA or collected and processed by UTA via the UTA EasyFuel app.

The UTA user can withdraw this consent from UTA at any time and without stating reasons with effect for the future via the UTA EasyFuel app. In this case the service provided by UTA will no longer be available.

13. Final provisions

13.1 Side agreements need to be made in writing.

13.2 If the UTA user is an entrepreneur within the meaning of the German Commercial Code or if their domicile is outside of the Federal Republic of Germany, the exclusive, also international place of jurisdiction is, subject to the exclusive jurisdiction provisions of the EU regulation on jurisdiction, Aschaffenburg.

13.3 UTA operates and is responsible for the UTA EasyFuel app. The UTA EasyFuel app takes into account the requirements of the country in which UTA is based. UTA does not accept any responsibility for information, software and/or documents also being allowed to be retrieved, used or downloaded by the UTA EasyFuel app in places outside of the country concerned. If the UTA user accesses the UTA EasyFuel app from places outside of the country concerned, the UTA user bears full responsibility for ensuring that the relevant regulations of the respective national law are observed. Information, software and/or documentation on the UTA EasyFuel app are not allowed to be accessed from countries in which this access is unlawful.

13.4 The law of the Federal Republic of Germany applies exclusively to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

13.5 4 If any provision in these terms of use should be ineffective, this will not affect the effectiveness of the remaining provisions in these terms of use. In  such a case, the parties undertake to replace the ineffective provision with an effective provision which is closest to the meaning and economic purpose of these terms of use. The same will apply in the case of any gaps in the text of these terms of use. It is the express wish of the parties that this article does not result in a shift in the burden of proof, but that section 139 of the German Civil Code (BGB) does not apply at all.

1. Allgemeine Hinweise

1.1 Diese Nutzungsbedingungen („Nutzungsbedingungen“) gelten für die Nutzung der UTA EasyFuel App („UTA EasyFuel App“).

1.2 Anbieter der UTA EasyFuel App ist die UNION TANK Eckstein GmbH & Co. KG mit Sitz in Kleinostheim, eingetragen im Handelsregister des Amtsgerichts Aschaffenburg unter HRA 835 („UTA“).

1.3 UTA betreibt einen Dienst, der es dem Nutzer („UTA User“) ermöglicht, mittels der UTA EasyFuel App Daten, insbesondere Tankstellendaten, und ggf. weitere Informationen aus der UTA Cloud zu beziehen („UTA Services“).

1.4 Die UTA EasyFuel App kann kostenlos im Apple App Store oder im Google Play Store herunterladen. Für die vollständige Nutzung der UTA EasyFuel App ist die Einrichtung eines Nutzer-Accounts bei UTA erforderlich.

1.5 Um alle Funktionen der UTA EasyFuel App nutzen zu können, wird ein internetfähiges Smartphone benötigt. Der UTA User hat für eine Internetverbindung zu seinem Smartphone eigenverantwortlich zu sorgen.

1.6 Eine Nutzung der UTA EasyFuel App ist ausschließlich aufgrund dieser Nutzungsbedingungen sowie vorbehaltlich der Vorschriften, Richtlinien und Bedingungen des jeweiligen Betreibers oder Anbieters des App-Stores, von welchem der UTA User die UTA EasyFuel App herunterlädt, zulässig. Gegenstand dieser Nutzungsbedingungen sind insbesondere die Erteilung einer unentgeltlichen Lizenz zur Nutzung der UTA EasyFuel App zu den Bedingungen dieser Nutzungsbedingungen.

1.7 Sobald der UTA User auf die Schaltfläche „Akzeptieren“ klickt, erklärt er sein Einverständnis mit der Geltung dieser Nutzungsbedingungen. Die Nutzungsbedingungen werden damit für den UTA User verbindlich.

1.8 UTA weist den UTA User ausdrücklich darauf hin, dass die Regelungen und Vorschriften bestreffend den Straßenverkehr, insbesondere die StVG und die StVO stets zu beachten sind und die Beachtung derselben in der Verantwortung des UTA Users liegt. UTA übernimmt keinerlei Haftung für jegliche Schäden und Folgen, die aus einer Nutzung der UTA EasyFuel App unter Missachtung der Straßenverkehrs- und sonstigen einschlägigen gesetzlichen Bestimmungen und Vorschriften resultieren.

2. Anwendungsvoraussetzungen und Mobilfunkgebühren

2.1 Das Smartphone des UTA Users benötigt bestimmte Systemvoraussetzungen zur Anwendung der UTA EasyFuel App. Die genauen Informationen finden sich im Google Play Store und App Store für Android-Smartphones.

2.2 Die Nutzung der UTA EasyFuel App setzt eine bestehende Internet- oder Mobilfunkverbindung voraus. Für deren Bestehen und damit anfallende Kosten ist der UTA User verantwortlich. UTA übernimmt keinerlei Verantwortung für die Verfügbarkeit von Internetverbindungen, Mobilfunknetzen und anderen Netzverbindungen von Drittanbietern. Ebenso übernimmt UTA keinerlei Verantwortung für die Funktionsweise und Funktionstauglichkeit der von dem UTA User zur Nutzung der UTA EasyFuel App eingesetzten Endgeräte, insbesondere Smartphones und Tablets.

3. Anwendungsbereich

3.1 Diese Nutzungsbedingungen gelten für die Nutzung der UTA EasyFuel App einschließlich aller Updates der UTA EasyFuel App. Abhängig von Art und Umfang des Updates kann es zu Beeinträchtigungen der Nutzung der UTA EasyFuel App und der Verfügbarkeit der UTA Services kommen.

3.2 Diese Nutzungsbedingungen können im Einzelfall durch weitere Bedingungen ergänzt, modifiziert oder ersetzt werden, wenn UTA den UTA User darüber informiert und der UTA User sich damit einverstanden erklärt. Eine Information seitens UTA über neue Nutzungsbedingungen kann bei einem Start der UTA EasyFuel App erfolgen. Die neuen Bedingungen können dem UTA User auf dem Bildschirm angezeigt werden und eine weitere Nutzung der UTA EasyFuel App von einer Akzeptanz der neuen Bedingungen abhängig gemacht werden.

3.3 Sofern der UTA User bei Nutzung der UTA EasyFuel App als oder für ein Unternehmen, d.h. in Ausübung einer gewerblichen oder selbständigen beruflichen Tätigkeit, oder für eine öffentliche Körperschaft handelt, finden die verbraucherschützenden gesetzlichen Vorschriften keine Anwendung.

3.4 Sofern der UTA User die UTA EasyFuel App für ein Unternehmen oder öffentliche Körperschaften nutzt, wird das jeweilige Unternehmen oder die Körperschaft durch den UTA User vertreten und muss sich das Handeln und Wissen des UTA Users zurechnen lassen.

4. Anmeldung, Registrierung, Passwort

4.1. Die vollständige Nutzung der UTA EasyFuel App erfordert eine Anmeldung und Registrierung.

4.2 Der UTA User sichert zu, dass alle von ihm im Rahmen der Anmeldung und Registrierung angegebenen Daten wahr und vollständig sind. Sofern die Daten des UTA Users von einem Dritten, wie bspw. dem Fleet-Manager seiner Organisation an UTA übermittelt wurden, ist der User verpflichtet, seine Daten auf Richtigkeit und Vollständigkeit zu überprüfen. Der UTA User ist darüber hinaus verpflichtet, die Daten hinsichtlich der von ihm in der UTA EasyFuel App oder auf Grund der UTA-Software genutzten Anwendungen und Dienste wahr und vollständig zu halten. Der UTA User sichert zu, dass er volljährig ist. Wird der UTA User für eine juristische Person oder (teil-)rechtsfähige Personengesellschaft tätig, sichert er zu, dass er zur Nutzung der UTA EasyFuel App und der UTA-Software sowie deren Anwendungen und der UTA Services ausreichend bevollmächtigt ist.

4.3 Da UTA die Identität der Nutzer, die sich über die UTA EasyFuel App registriert haben, technisch nicht mit Sicherheit feststellen kann, übernimmt UTA keine Gewähr dafür, dass der tatsächliche Nutzer der UTA EasyFuel App mit dem registrierten Nutzer identisch ist.

5. Leistungen und Lizenzgewährung

5.1 UTA stellt dem UTA User die UTA EasyFuel App kostenlos zur Nutzung nach näherer Maßgabe dieser Nutzungsbedingungen zur Verfügung.

5.2 Mit Akzeptanz dieser Nutzungsbedingungen gewährt UTA dem UTA User – vorbehaltlich der Datenschutzvereinbarung – eine kostenlose, nicht übertragbare, nicht ausschließliche Lizenz zur Nutzung der UTA EasyFuel App.

5.3 UTA behält sich sämtliche Rechte an der UTA-Software und der UTA EasyFuel App vor.

5.4 Aufgrund der Beschaffenheit des Internets, der Mobilfunknetze und von Computersystemen übernimmt UTA keine Gewähr für die ununterbrochene Verfügbarkeit der UTA EasyFuel App und der UTA-Software.

6. Geistiges Eigentum

6.1 Dem UTA User steht ausschließlich das Recht auf Nutzung der UTA EasyFuel Drive App und der UTA-Software nach Maßgabe dieser Nutzungsbedingungen zu.

6.2 Außerhalb der in diesen Nutzungsbedingungen ausdrücklich eingeräumten Nutzungsrechte werden dem UTA User keinerlei Rechte gleich welcher Art, insbesondere an dem Firmennamen, Logo, Handelsnamen, Know-how und an gewerblichen Schutzrechten wie Patenten, Marken, Gebrauchsmuster, Urheberrechten (einschließlich insbesondere Texte, Grafiken, Software, Codes, Skripte, Designs, Töne, Musik, Animationen, Videos, Anwendungen) oder dergleichen, eingeräumt. UTA trifft keine Pflicht, dem UTA User solche Rechte einzuräumen.

6.3 Der UTA User erkennt an, dass sämtliche Rechte an der UTA EasyFuel App und der UTA-Software weltweit UTA oder Lizenzgebern von UTA gehören und zustehen und die Rechte an der UTA EasyFuel App und der UTA-Software nur im Rahmen der in diesen Nutzungsbedingungen eingeräumten Lizenz an den UTA User vergeben werden und nicht verkauft werden.

6.4 Der UTA User überträgt UTA ein kostenloses, zeitlich unbefristetes, übertragbares, nicht-exklusives Nutzungsrecht zu nachstehenden Zwecken, insbesondere zur Vervielfältigung, Verbreitung, Bearbeitung an allen Inhalten und Informationen, die der UTA User im Rahmen und im Zusammenhang mit der Nutzung der Dienste von UTA zur Verfügung stellt.

6.5 Die Inhalte und Informationen im Sinne von Ziffer 6.4 dienen insbesondere zur Verbesserung von Dienstleistungen, für statistische Zwecke und werden für Markforschungszwecke genutzt.

6.6 UTA darf die Inhalte und Informationen im Sinne von Ziffer 6.4 auch zur eigenen angemessenen Vermarktung von UTA nutzen, sofern und soweit berechtigte Interessen des UTA Users hierdurch nicht unzumutbar beeinträchtigt werden.

6.7 Das UTA nach Ziffer 6.4 eingeräumte Nutzungsrecht erlischt für die Zukunft, wenn der UTA User seinen Account bei UTA löscht. Unberührt bleibt eine Nutzung von anonymisierten Inhalten und Informationen, die keinen Personenbezug haben. UTA übernimmt keine Verantwortung für die durch Dritte ohne die Einwilligung von UTA erfolgte Verwendung von Inhalten und Informationen. UTA wird die Inhalte und Informationen im Rahmen des technisch vertretbaren vor Dritten schützen.

7. Datensicherung und Nutzung

7.1 Es ist dem UTA User, vorbehaltlich anderer Bestimmungen in diesen Nutzungsbedingungen, erlaubt, Kopien der UTA-Software bzw. von Inhalten anzufertigen, sofern und soweit dies zum Zwecke der Datensicherung, der Betriebssicherheit oder normalen Nutzung der UTA EasyFuel App erforderlich und technisch möglich ist und von UTA angeboten wird. UTA übernimmt keine Garantie oder Gewährleistung, dass die technischen Möglichkeiten hierzu bestehen.

7.2 Vorbehaltlich Ziffer 7.1 ist es dem UTA User nicht erlaubt, ohne ausdrückliche vorherige Zustimmung von UTA:

7.2.1 die UTA-Software zu kopieren;

7.2.2 die UTA-Software zu vermieten, zu verkaufen, zu verleasen, zu verleihen, sonst Dritten zu überlassen oder unterzuvergeben oder zu übertragen, Unterlizenzen einzuräumen oder zu gewähren;

7.2.3 die UTA-Software zu modifizieren, zu ändern, mit anderer Software (einschließlich anderer Software von UTA) zusammenzuschließen, zu kombinieren oder in andere Software aufzunehmen oder

7.2.4 die UTA-Software zu demontieren, zurück zu entwickeln, Derivate von dieser zu erstellen und/oder einzelne Bestandteile der UTA-Software im Sinne der Ziffern 7.2.1 bis 7.2.3 zu nutzen.

8. Verpflichtungen des UTA Users

8.1 Der UTA User verpflichtet sich, unbeschadet zwingender gesetzlicher und weiterer Vorgaben in diesen Nutzungsbedingungen mit der Akzeptanz dieser Nutzungsbedingungen, alle einschlägigen technologischen Kontrollen, Bestimmungen sowie Exportkontrollgesetze einzuhalten, die sich auf die Technologie in der oder der UTA EasyFuel App sowie UTA-Software beziehen bzw. von der UTA EasyFuel App oder UTA-Software genutzt oder unterstützt werden.

8.2 Der UTA User darf die UTA EasyFuel App und/oder UTA-Software nicht in einer Weise nutzen, die die Eigentumsrechte von UTA, soweit nicht gerade auf Grund dieser Nutzungsbedingungen eingeräumt, oder die Eigentumsrechte Dritter verletzt.

8.3 Der UTA User darf die UTA EasyFuel App und/oder PACE-Software in keiner Weise nutzen, die

8.3.1 die Systeme oder Sicherheit der Systeme von UTA beschädigen, deaktivieren oder gefährden könnte oder

8.3.2 die Nutzung anderer Nutzer oder User der UTA EasyFuel App oder sonstige UTA Services stören oder beeinträchtigen könnten.

8.4 Der UTA User hat unbeschadet der Regelungen in Ziffer 7.1 bei Weitergabe der von UTA bereitgestellten Informationen, der UTA-Software, weiterer von UTA zur Verfügung gestellter Software und Dokumentation an Dritte die jeweils anwendbaren Vorschriften des nationalen und internationalen (Re-) Exportkontrollrechts einzuhalten. In jedem Fall hat der UTA User bei einer solchen Weitergabe die (Re-) Exportkontrollvorschriften der Bundesrepublik Deutschland und der Europäischen Union zu beachten.

8.5 Der UTA User wird vor einer solchen Weitergabe insbesondere prüfen und durch geeignete Maßnahmen sicherstellen, dass

8.5.1 er nicht durch eine solche Weitergabe an Dritte oder durch das Bereitstellen sonstiger wirtschaftlicher Ressourcen im Zusammenhang mit von UTA bereitgestellten Informationen, Software und Dokumentation gegen ein einschlägiges Embargo, insbesondere der Europäischen Union und/ oder der Vereinten Nationen verstößt oder

8.5.2 die seitens UTA bereitgestellten Informationen, Software und Dokumentation nicht für eine verbotene bzw. genehmigungspflichtige rüstungsrelevante, kern- oder waffentechnische Verwendung bestimmt sind.

8.6 Der UTA User stellt UTA von allen Ansprüchen, die von Behörden oder sonstigen Dritten gegenüber UTA wegen der Nichtbeachtung vorstehender exportkontrollrechtlicher Verpflichtungen durch den UTA User geltend gemacht werden, in vollem Umfang frei und verpflichtet sich zum Ersatz aller UTA in diesem Zusammenhang entstehenden Schäden und Aufwendungen, es sei denn, der UTA User hat die Pflichtverletzung nicht zu vertreten. Eine Umkehr der Beweislast ist hiermit nicht verbunden.

9. Sperrung des Zugangs

UTA behält sich ausdrücklich das Recht vor, den Zugang des UTA Users zur UTA EasyFuel App zu sperren, sofern der UTA User gegen diese Nutzungsbedingungen verstößt.

10. Haftung

10.1. UTA gibt keinerlei Garantien für die Beschaffenheit der UTA EasyFuel App oder UTA-Software, insbesondere keine für die Funktion, Funktionsfähigkeit, Verfügbarkeit, Gebrauchsfähigkeit oder sonstige Garantien mit Bezug auf die UTA EasyFuel App und UTA-Software ab. UTA übernimmt keine Haftung für die Richtigkeit und Aktualität der über die UTA EasyFuel App bzw. UTA Software übermittelten Daten und Informationen. UTA haftet ferner nicht für die Folgen von Störungen, Unterbrechungen und Funktionsbeeinträchtigungen der UTA EasyFuel App bzw. UTA Software.

10.2 Die UTA EasyFuel App und die UTA-Software sind für gewerbliche Endverbraucher konzipiert und entwickelt. Insbesondere ist eine Weiterveräußerung nicht gestattet. UTA haftet daher nicht für entgangenen Gewinn, entgangene Geschäfte oder Geschäftschancen, Geschäftsunterbrechungen oder den Verlust von Geschäftstätigkeit.

10.3 Die UTA EasyFuel App und/oder UTA geben keinerlei Garantien für die Korrektheit der in der App angezeigten Benzinpreise an den jeweiligen Tankstellen.

10.4 UTA haftet unbeschränkt für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, die auf einer Pflichtverletzung von UTA, eines gesetzlichen Vertreters oder Erfüllungsgehilfen von UTA beruhen sowie für Schäden, die durch Fehlen einer von UTA garantierten Beschaffenheit hervorgerufen wurden. Zudem haftet UTA in Fällen arglistigen Verhaltens, insbesondere im Falle eines arglistigen Verschweigens eines Mangels. Auch haftet UTA im Falle vorsätzlichen oder grob fahrlässigen Verhaltens von UTA oder einem von einem Vertreter oder Erfüllungsgehilfen von UTA vorsätzlich oder grob fahrlässig verursachten Schadens.

10.5 Im Falle der Verletzung wesentlicher Vertragspflichten haftet UTA bei leichter Fahrlässigkeit der Höhe nach beschränkt auf den vertragstypisch zu erwartenden (vorhersehbaren) Schaden. Die Haftung nach Ziffer 10.3 wird hierdurch nicht eingeschränkt. Wesentliche Vertragspflichten sind solche, die die Durchführung des Vertrags überhaupt erst ermöglichen und auf deren Einhaltung der User regelmäßig vertrauen darf.

10.6 Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.

10.7 Im Übrigen ist die Haftung von UTA ausgeschlossen.

11. Datenschutz

11.1 UTA wird sich ständig um eine optimale Sicherung der eigenen Systeme im Rahmen der technischen und wirtschaftlichen Machbarkeit bemühen. UTA weist darauf hin, dass Internetverbindungen und Mobilfunkverbindungen niemals zu 100% sicher und geschützt sind.

11.2 Zur ordnungsgemäßen Anwendung der UTA EasyFuel App und der UTA-Software ist es erforderlich, dass UTA Daten des UTA Users erfasst und auswertet. Insbesondere ist nur durch eine Verknüpfung eines registrierten Nutzerprofils und der Erfassung dieser Daten eine optimale sowie vertraglich vereinbarte Funktionsweise der UTA EasyFuel App und der UTA-Software zu erreichen.

UTA weist daher ausdrücklich darauf hin, dass personenbezogene Daten des UTA Users bei der Verwendung der UTA EasyFuel App von UTA im Rahmen der gesetzlichen Bestimmungen erhoben, verarbeitet, übermittelt und genutzt (Verarbeitung) werden. Die Art und Weise der Verarbeitung der personenbezogenen Daten sowie die diesbezüglichen Betroffenenrechte sind in der Datenschutzerklärung von UTA beschrieben.

11.3 Sofern die UTA EasyFuel App Links auf Webseiten anderer, von UTA unabhängiger Dritter enthält, unterliegen die Inhalte dieser Webseiten der Dritten nicht der Kontrolle von UTA. UTA übernimmt keinerlei Verantwortung für die Inhalte der Webseiten Dritter und deren Datenschutzbestimmungen. UTA macht sich diese Fremdinhalte nicht zu Eigen. Bei Bekanntwerden von entsprechenden Rechtsverletzungen wird UTA diese Inhalte umgehend entfernen (Notice-and-take-down-Verfahren). Es liegt in der Verantwortung des UTA Users, ob und in welchem Umfang er auf Webseiten und Angebote Dritter zugreift.

12. Einwilligung

Der UTA User ist widerruflich damit einverstanden, dass UTA an ihn gerichtete individuell zugeschnittene Angebote im Rahmen der UTA Services, wie speziell für UTA User ausgehandelte Angebote und Informationen rund um dessen Kraftfahrzeug, als Mitteilungen per Notification auf sein Mobiltelefon über die UTA EasyFuel App oder per E-Mail schickt und dabei die von dem UTA User im Rahmen der Registrierung für die Dienste von UTA angegebenen bzw. von UTA über die UTA EasyFuel App erhobenen und verarbeiteten personenbezogenen Daten nutzen kann.

Diese Einwilligung kann der UTA User jederzeit und ohne Angabe von Gründen mit Wirkung für die Zukunft über die UTA EasyFuel App gegenüber UTA widerrufen. In diesen Fällen ist der Dienst von UTA nicht mehr nutzbar.

13. Schlussbestimmungen

13.1 Nebenabreden bedürfen der Schriftform.

13.2 Ausschließlicher, auch internationaler, Gerichtsstand ist, wenn der UTA User Kaufmann im Sinne des Handelsgesetzbuches bist oder wenn er seinen Wohnsitz außerhalb der Bundesrepublik Deutschland hast, vorbehaltlich ausschließlicher Gerichtsstände nach der EuGVVO, Aschaffenburg.

13.3 Die UTA EasyFuel App wird von UTA betrieben und verantwortet. Die UTA EasyFuel App berücksichtigt die Anforderungen des Landes, in dem UTA seinen Sitz hat. UTA übernimmt keine Verantwortung dafür, dass Informationen, Software und/oder Dokumentation von der UTA EasyFuel App auch an Orten außerhalb des betreffenden Landes abgerufen, genutzt oder heruntergeladen werden dürfen. Wenn der UTA User von Orten außerhalb des betreffenden Landes auf die UTA EasyFuel App zugreift, ist der UTA User ausschließlich selbst für die Einhaltung der nach dem jeweiligen Landesrecht einschlägigen Vorschriften verantwortlich. Der Zugang zu Informationen, Software und/oder Dokumentation auf der UTA EasyFuel App aus Ländern, in denen dieser Zugang rechtswidrig ist, ist nicht gestattet.

13.4 Es gilt ausschließlich das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.

13.5 4 Sollte eine Bestimmung dieses Nutzungsbedingungen unwirksam sein, so berührt dies die Wirkung der übrigen Bestimmungen dieses Vertrages nicht. Die Parteien verpflichten sich, in einem solchen Fall die unwirksame Bestimmung durch eine wirksame zu ersetzen, die dem Sinn und wirtschaftlichen Zweck dieser Nutzungsbedingungen am nächsten kommen. Dies gilt entsprechend für etwaige Textlücken in diesen Nutzungsbedingungen. Es ist der ausdrückliche Wunsch der Parteien, dass dieser Artikel nicht nur zu einer Umkehr der Beweislast führt, sondern dass § 139 BGB überhaupt keine Anwendung findet.
